Section 1 Scope and provider

(1) These terms and conditions apply to all contracts between NoraMedia, owner Mikail Aykul, Leipziger Straße 33a, 36037 Fulda (hereinafter "Provider") and the users of the website builder NoraPix (hereinafter "Customer").

(2) A consumer within the meaning of these terms is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or profession. An entrepreneur is any natural or legal person acting in the exercise of their trade, business or profession when concluding the legal transaction.

(3) Deviating or conflicting terms of the Customer do not become part of the contract unless the Provider expressly agrees to their validity.

Section 2 Services

(1) The Provider makes a cloud based website builder available to the Customer, which the Customer can use to create, edit and publish websites, online shops, booking and course offerings, digital business cards and further functions. The software is provided over the internet (Software as a Service). The software is not handed over for installation on the Customer's own systems.

(2) The exact scope of services results from the description of the package chosen by the Customer at the time of booking on the pricing page.

(3) Every website is provided with a subdomain under the Provider's domain. Depending on the package, a custom domain can be connected to the website (see Section 9).

(4) The Provider may further develop and change the services as long as the contractually agreed core of the service is preserved and the change is reasonable for the Customer.

Section 3 Registration and conclusion of contract

(1) Use requires a customer account. The Customer must provide truthful and complete information at registration and keep it up to date. One account per Customer is intended. Access data must be kept confidential and protected against access by third parties.

(2) The presentation of packages on the website is not a binding offer. By completing the order process, the Customer submits a binding offer. The contract is concluded when the Provider accepts the offer. This happens by activating the booked package or by confirmation in text form.

(3) The Provider does not store the contract text separately for the Customer. The Customer can retrieve and save these terms at any time on the website. The contract language is German.

(4) Before submitting the order, the Customer can review and correct their entries in the order process.

Section 4 Free package and free trial

(1) The Provider offers a free package and, for most paid packages, a free trial of seven days. During the trial the Customer can use the functionality of the chosen package without payment.

(2) The trial ends automatically after seven days without any need for cancellation. No paid contract is concluded as a result. Without booking a paid package, the website is paused once the trial ends. The content is initially retained (see Section 8 (4)).

(3) The Provider may change or discontinue the free package and the trial for new customers at any time. There is no entitlement to a trial.

Section 5 Prices, payment and due date

(1) The prices stated on the website at the time of booking apply. All prices are final prices including statutory VAT unless expressly stated otherwise.

(2) Payment is made through the payment service providers offered in the order process, currently Stripe and PayPal. Their terms of use also apply. The amount is charged in the currency shown in the order process.

(3) The fee for the first billing period is due upon conclusion of the contract. For a subscription, the fee for each further billing period is due at the beginning of that period.

(4) Unless stated otherwise, coupon codes only apply to the first billing period. From the second period, the regular price of the package applies. Coupons are not transferable and cannot be combined with other promotions unless expressly stated.

(5) If the fee cannot be collected because the payment method has insufficient funds, has expired or was declined, and this is due to circumstances for which the Customer is responsible, the Provider may attempt collection again and ask the Customer to update their payment details. If payment is still not made after a reasonable deadline, the Provider may block access to the paid functionality. The Provider's statutory rights in case of default remain unaffected.

Section 6 Term and automatic renewal

(1) Paid packages are concluded for the billing period chosen at booking (for example one month). If the Customer chooses payment by subscription via Stripe or PayPal at booking, the contract renews automatically after the period ends for the same period each time until it is cancelled. The Customer is expressly informed about the automatic renewal and the price before submitting the order.

(2) The Customer can cancel the subscription at any time with effect from the end of the current billing period. There is no notice period. Cancellation is possible via the "Cancel contracts here" button, which is available on the website at all times and works without logging in, via the "Subscription" function in the customer account, by email to info@norapix.de or in any other text form. We confirm receipt of a cancellation submitted via the button without delay by email, stating the date, the time and the termination date. After cancellation the package remains usable until the end of the period already paid. No further charges are made.

(3) Fees already paid for the current billing period are not refunded pro rata upon cancellation by the Customer, unless a statutory right of withdrawal or another statutory claim exists.

(4) The right of both parties to terminate for good cause remains unaffected. Good cause for the Provider exists in particular if the Customer materially breaches these terms, in particular Section 7.

Section 7 Customer obligations and content

(1) The Customer is solely responsible for all content they create, store or publish with the builder. This includes texts, images, products, prices, booking and course offerings.

(2) The Customer ensures that their content does not violate applicable law or third party rights, in particular copyright, trademark, competition, personality and data protection law. In particular, unlawful content, incitement to hatred, content harmful to minors, glorification of violence or pornographic content, phishing, malware, spam and the sale of illegal goods and services are prohibited.

(3) As the operator of their website, the Customer is responsible for complying with legal obligations themselves, in particular a complete legal notice, a privacy policy, withdrawal information, price indications and information duties towards their visitors and customers. The Provider does not offer legal advice. Templates and sample texts in the builder do not replace an individual legal review.

(4) The Customer indemnifies the Provider against claims of third parties based on unlawful content of the Customer or any other use in breach of the contract, including reasonable legal defence costs. This does not apply if the Customer is not responsible for the infringement.

(5) The Provider may block or remove content and temporarily block access if there are concrete indications of a breach of paragraph 2 or if an authority or court requires it. Where possible and reasonable, the Customer will be informed in advance and given an opportunity to respond.

Section 8 Availability, backups and end of contract

(1) The Provider strives for high availability of the builder and published websites. Temporary restrictions, for example due to maintenance, disruptions at third parties (such as hosting, payment or domain providers) or force majeure, are possible. A specific availability is not guaranteed unless expressly agreed.

(2) The Customer is responsible for creating their own backup copies of their content at regular intervals.

(3) When the contract ends, the Customer can no longer use the paid functions. Their website is paused.

(4) After the contract ends, the Provider retains the Customer's content for a reasonable period so that the Customer can reactivate their package or back up their content. After that the Provider may delete the content unless statutory retention obligations apply.

Section 9 Domains

(1) At the Customer's request the Provider arranges the registration of domains through third parties (registries and registrars). Depending on the design of the order process, the domain contract is concluded with the Provider or directly with the registrar. The terms of the respective registry additionally apply.

(2) The Provider has no influence on the allocation of domains and gives no guarantee that a desired domain is available or remains free of third party rights. Displayed availability is a snapshot and may change until registration is completed. The Customer checks themselves whether the chosen domain infringes third party rights, for example trademark or name rights.

(3) The domain is registered for the booked term. Renewal only takes place at the Customer's initiative and against payment of the price then applicable. If the Customer does not renew in time, the domain may expire and be registered by third parties.

(4) The Customer must provide the required registration data correctly and keep it up to date. They consent to this data being passed on to registrar and registry.

(5) The Customer is responsible for connecting an existing domain, in particular for the correct setup of DNS settings with their domain provider.

Section 10 Data protection and data processing

(1) The Provider processes the Customer's personal data in accordance with the Privacy Policy.

(2) Where the Customer processes personal data of third parties (for example visitors, customers, participants) with the builder, the Customer is the controller within the meaning of the GDPR and the Provider is the processor. On request the parties conclude a data processing agreement under Art. 28 GDPR.

Section 11 Liability

(1) The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, for fraudulently concealed defects, for assuming a guarantee and under the Product Liability Act.

(2) In case of simple negligent breach of an essential contractual obligation, liability is limited to the typical, foreseeable damage. Essential contractual obligations are those whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the Customer may regularly rely.

(3) Otherwise liability for simple negligence is excluded.

(4) The Provider is liable for loss of data under the preceding paragraphs only if the Customer has regularly backed up their data themselves and the damage would not have occurred with proper backups.

(5) The limitations of liability also apply in favour of the Provider's employees and vicarious agents.

Section 12 Changes to the terms and prices

(1) The Provider may change these terms with effect for the future if this is necessary for good reason, for example due to a change in law or a change of the services. The Provider informs the Customer in text form at least six weeks before the change takes effect. The change only becomes effective if the Customer agrees to it. If the Customer does not agree, the contract continues under the previous terms. The Provider is then entitled to terminate the contract ordinarily at the end of the current billing period.

(2) Paragraph 1 applies accordingly to price changes for running subscriptions. A price increase only takes effect with the Customer's consent.

Section 13 Right of withdrawal for consumers

Consumers have a statutory right of withdrawal. Details can be found in the Right of Withdrawal.

Section 14 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice of law only applies insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.

(2) If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is the Provider's registered seat.

(3) The Provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

(4) Should individual provisions of these terms be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The statutory provision replaces the invalid provision.
